Artexbag is a professional bag manufacturer and exporter established in 2005, headquartered in Qingdao, China. We specialize in the design, manufacture, and export of various types of bags including shoulder bags, handbags, tote bags, backpacks, laptop bags, duffel bags, clutch bags, and hobo bags.

Our services include OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) for businesses worldwide.

3. Products and Services

3.1 Product Information

We make every effort to display our products accurately on our website. However, the actual colors and appearance of products may vary slightly from the images due to monitor settings and photography conditions. Product specifications, materials, and designs may be subject to change without prior notice.

3.2 Minimum Order Quantity (MOQ)

As a manufacturer, we operate with minimum order quantities that vary by product type and customization requirements. Please contact our sales team for specific MOQ information for your desired products.

3.3 Custom Orders

We welcome custom orders and can manufacture bags according to your specifications, including custom materials, colors, sizes, logos, and packaging. Custom orders are subject to separate quotations and terms to be agreed upon before production.

4. Quotations and Pricing

• All quotations are valid for 30 days unless otherwise specified
• Prices are quoted in USD unless otherwise agreed
• Prices are subject to change based on raw material costs, exchange rates, and order specifications
• Shipping costs, import duties, and taxes are not included unless explicitly stated
• Final pricing will be confirmed in the purchase order or sales contract

5. Orders and Payment

5.1 Order Confirmation

Orders are confirmed only after we receive a signed purchase order or sales contract and the agreed deposit payment. Any changes to confirmed orders may incur additional charges and affect delivery schedules.

5.2 Payment Terms

Standard payment terms are as follows (subject to negotiation for established customers):

• 30% deposit upon order confirmation
• 70% balance before shipment (T/T) or against B/L copy
• Letter of Credit (L/C) accepted for larger orders

5.3 Payment Methods

We accept the following payment methods:

• Bank Transfer (T/T - Telegraphic Transfer)
• Letter of Credit (L/C)
• Western Union (for sample orders)
• PayPal (for sample orders)

6. Production and Delivery

6.1 Production Time

Production time varies based on order quantity, product complexity, and current factory capacity. Typical lead times range from 30-60 days after order confirmation and receipt of deposit. We will provide estimated delivery dates upon order confirmation.

6.2 Shipping Terms

We offer various shipping terms including:

• FOB (Free On Board) - Qingdao Port
• CIF (Cost, Insurance, and Freight)
• EXW (Ex Works)
• DDP (Delivered Duty Paid) - upon request

6.3 Shipping and Delivery

Shipping arrangements will be made as per the agreed terms. We can arrange shipping through our logistics partners or use your designated freight forwarder. Risk of loss transfers to the buyer according to the agreed shipping terms (Incoterms 2020).

7. Quality Assurance

We are committed to delivering high-quality products. Our quality control measures include:

• Incoming material inspection
• In-process quality checks
• Final inspection before shipment (AQL 2.5 standard)
• Pre-shipment inspection available upon request

Third-party inspection services (such as SGS, Bureau Veritas, or Intertek) can be arranged at the buyer's expense upon request.

8. Samples

• Sample charges apply and will be quoted separately
• Sample fees may be refundable against bulk orders (subject to agreement)
• Sample delivery time is typically 7-15 days
• Shipping costs for samples are borne by the buyer

9. Intellectual Property

9.1 Our Intellectual Property

All content on our website, including text, images, logos, and designs, is the property of Artexbag and protected by intellectual property laws. You may not reproduce, distribute, or use our content without our written permission.

9.2 Customer Intellectual Property

We respect our customers' intellectual property rights. When producing custom orders with customer logos, designs, or trademarks, customers must confirm they have the legal right to use such intellectual property. We will not share or use customer designs for any other purpose.

10. Claims and Returns

10.1 Defective Products

Any claims for defective products must be made in writing within 7 days of receiving the goods, accompanied by photos and detailed descriptions. We will work with you to resolve legitimate quality issues through replacement, repair, or credit.

10.2 Returns

Due to the custom nature of our products, returns are generally not accepted unless the products are defective or do not match the approved specifications. Any returns must be authorized in writing before shipping back to us.

11. Limitation of Liability

To the maximum extent permitted by law, Artexbag shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability shall not exceed the amount paid for the specific products or services giving rise to the claim.

12. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, pandemics, or supply chain disruptions.

13. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of business, including pricing, designs, business strategies, and customer information. This obligation survives the termination of any business relationship.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or our business relationship shall first be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our website or services after any changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
